Your Company

Barmulloch Community Development Company (BCDC) is a local organisation run by local volunteers representing and assisting your community. It is a Registered Charity and is incorporated at Companies House. It has a constitution, known as the Memorandum and Articles of Association which sets out rules for its volunteers to follow on membership, recruitment, appointment of Directors, appointment of office bearers and conduct of meetings such as regular Board meetings, Annual General Meeting, financial management and financial reporting.

In addition to the Memo and Arts document, BCDC also has a Code of Conduct for all board members and a Governance Officer whose duty is to ensure the Company and its Directors act in accordance with legal requirements and in the interests of the community it represents.

The Company maintains a list of members of the Company, who pay up to £1 annually for membership. Members elected or appointed to sit on the BCDC Board are regarded as Directors. All are unpaid volunteers who meet on the second Thursday of every 2nd month to consider, discuss and make decisions on your behalf. A small number of sub-committees also meet regularly and report to the main Board. Directors are accountable for all activities and income earned and income received through grant awards. Company premises, financial appraisals, future planning, C in the Park Fund Day, staff performance and new projects are some of the responsibilities of the Board. BCDC Memo and Arts state the two longest serving Directors, since last appointed/re-appointed must stand down at the AGM (October) and seek re-election alongside any members who have applied for consideration using Nomination Forms sent to all members 21 days before the AGM.
